Universal Content Provider & 2257 Compliance Agreement

1. Purpose of this Agreement

This Agreement governs the relationship between the Content Provider ("Provider") and CIPA Media S.L.U. ("Company") regarding the upload, distribution, marketing, licensing, or monetization of adult digital content.

Depending on the specific platform structure, the Company may act as:

• Merchant of Record,
• Marketing and distribution partner,
• Technical service provider,
• Payment facilitator,
• Or platform operator (PMI model).

2. Legal Age and Capacity

The Provider confirms that:

• They are at least eighteen (18) years of age.
• All individuals appearing in the content are at least eighteen (18) years of age.
• They have full legal capacity to enter into this Agreement.

Government-issued photo identification must be provided prior to publication.

3. Ownership and Rights

The Provider represents and warrants that:

• They are the lawful creator or rights holder of the submitted content, OR
• They possess valid written authorization from all involved parties.

The Provider grants the Company a non-exclusive, worldwide license to:

• Host,
• Distribute,
• Market,
• Process payments,
• Monetize,
• Display the content

for commercial purposes as agreed between the parties.

Ownership remains with the Provider unless otherwise contractually agreed.

4. Consent and Non-Coercion

The Provider confirms that:

• All content is created voluntarily.
• No participant is under duress, coercion, or trafficking conditions.
• No participant is intoxicated, unconscious, or incapable of consent.
• No minor appears in any content, whether directly or indirectly.

5. 18 U.S.C. §2257 Compliance

The Provider agrees to comply with:

• 18 U.S.C. §2257
• 18 U.S.C. §2257A
• 28 C.F.R. Part 75

The Provider shall maintain all required records and provide copies upon request.

The Company may act as secondary custodian where applicable.

6. Prohibited Content

The Provider may not upload content that includes:

• Minors or age-play scenarios
• Non-consensual acts
• Trafficking or coercion
• Bestiality
• Bodily excretions involving direct person-to-person acts (if restricted by payment processor)
• Extreme violence or real injury
• Content violating applicable laws or payment network rules

The Company reserves sole discretion to remove content.

7. Payment and Platform Structure

Depending on the operational model:

Model A – Merchant of Record
The Company acts as the merchant and processes payments directly.

Model B – Marketing & Distribution
The Company markets and processes payments under license.

Model C – Marketplace / PMI
The Provider may act as merchant, while the Company provides technical, marketing, or payment facilitation services.

The applicable structure shall be defined in the platform dashboard or separate commercial agreement.

8. Indemnification

The Provider agrees to indemnify and hold harmless the Company from:

• Claims related to age misrepresentation
• Claims of lack of consent
• Intellectual property violations
• False declarations
• Regulatory breaches caused by Provider actions

9. Content Removal & Complaints

The Provider acknowledges:

• The platform maintains a public Complaints and Appeals Policy.
• Content may be removed pending investigation.
• Failure to cooperate may result in suspension or termination.

10. Anti-Human-Trafficking Policy

The Provider acknowledges zero tolerance for:

• Human trafficking
• Exploitation
• Forced participation
• Non-consensual conduct

Violations may be reported to authorities.

11. Termination

The Company may suspend or terminate the Provider’s access in case of:

• Breach of this Agreement
• Legal risk exposure
• Payment processor restrictions
• Regulatory violations

12. Governing Law

This Agreement shall be governed by the laws of Spain.

Jurisdiction shall lie with the courts of Santa Cruz de Tenerife, unless mandatory consumer protection law provides otherwise.
